Subscriber Agreement

This Subscriber Agreement ("Agreement") is between you ("Subscriber," "you") and North Coast Vacations, Inc., RNC 132-08055-6, Pedro Clisante 73, Sosúa, Puerto Plata, Dominican Republic ("Calisto," "we," "us"). By activating a paid subscription or using any paid Calisto service, you agree to this Agreement.

This Agreement, together with the Terms & Conditions, the Acceptable Use Policy, the Privacy Policy, the Cookie Policy, the Payment Terms, the Calisto Pay Terms, and the Data Processing Agreement, constitutes the complete set of terms between you and Calisto ("Terms of Service"). Where another Calisto document references "Terms of Service," it means this Agreement and the documents listed in this section.

1. Our Commitment to Compliance

It is the intention of North Coast Vacations, Inc. to comply with all laws and regulations in all jurisdictions where we operate. Where the law of your country grants you rights that cannot be waived or limited by contract, those rights apply and override any conflicting provision of this Agreement.

2. Who This Agreement Is For

2.1. This Agreement applies to subscribers — individuals and entities who activate a paid subscription to any Calisto product or service.

2.2. If you are accessing the Site as a visitor or as a free-tier user, the Terms & Conditions govern your access. This Agreement takes effect when you activate a paid subscription.

3. Your Account

3.1. One Calisto account gives you access to every Calisto product. Your account is personal to you. You must not share your credentials or allow another person to access your account.

3.2. If you operate a business, you may invite team members through your account's workspace management. Each team member must use their own credentials. You are responsible for the actions of team members you invite.

3.3. You must provide accurate information when creating your account and keep it current. Calisto relies on this information for billing, identity verification, compliance screening, and communications.

4. Calisto Products and Services

4.1. Calisto provides a platform of business applications. The applications available to you depend on your subscription and the products you activate.

4.2. Calisto may add, modify, or discontinue individual products. If Calisto discontinues a product you are subscribed to, Calisto notifies you at least thirty (30) days in advance and stops billing for that product at the end of the notice period.

5. Identity Verification

5.1. Certain products require identity verification before activation. Calisto uses third-party identity verification providers to confirm your identity.

5.2. Identity verification for Calisto Pay activation requires a government-issued identity document and a liveness check, as described in the Calisto Pay Terms.

5.3. Identity verification for the Content Creators product with Class A activation requires the process described in Addendum A (Adult Content), which supplements this Agreement.

5.4. Calisto may require additional verification at any time if regulatory obligations, compliance screening, or risk indicators require it.

6. Your Data

6.1. Your account data. The personal data Calisto collects about you to provide your account and services is governed by the Privacy Policy. Calisto is the controller of this data.

6.2. Your customers' data. When you use Calisto to process personal data about your own customers, contacts, employees, or other individuals, you are the controller of that data and Calisto processes it on your behalf under the Data Processing Agreement.

6.3. Your content. You retain ownership of all content you upload, create, or store on the Site. You grant Calisto a non-exclusive, worldwide licence to host, store, transmit, display, and process that content solely to provide the services you have activated. This licence ends when you delete the content or close your account.

6.4. Data portability. You can export your data at any time through the platform's data export tools.

7. Your Obligations

You must:

• Comply with the Acceptable Use Policy
• Comply with all laws applicable to your use of the Site and your business
• Maintain sufficient funds in your Calisto Pay balance to cover recurring charges, as described in the Payment Terms
• Notify Calisto promptly if you suspect unauthorized access to your account
• Ensure that any content you publish through the Site does not infringe the rights of any third party

8. Payment

All billing, charges, invoicing, refunds, and payment disputes are governed by the Payment Terms and the Calisto Pay Terms.

9. Subscriber Infrastructure

9.1. Calisto allows you to connect your own backend infrastructure to the platform. When you do so, Section 3 of the Data Processing Agreement applies.

9.2. You are solely responsible for the security, availability, and compliance of your own infrastructure. Calisto's security measures, service levels, and warranties apply only to infrastructure operated by Calisto.

10. Intellectual Property

10.1. Calisto and its licensors own all rights in the Site, including its software, design, documentation, and trademarks. This Agreement does not transfer any intellectual property rights to you.

10.2. You own Your Content. Nothing in this Agreement transfers ownership of Your Content to Calisto.

11. Confidentiality

11.1. Each party keeps confidential any non-public information received from the other party in connection with this Agreement.

11.2. Confidential information does not include information that is publicly available, independently developed, or lawfully received from a third party without restriction.

12. Warranties and Disclaimers

12.1. Calisto warrants that it will provide the services with reasonable care and skill.

12.2. Except as stated in Section 12.1, the Site is provided "as is" and "as available." Calisto makes no additional warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12.3. Calisto does not warrant uninterrupted or error-free operation of the Site.

13. Limitation of Liability

13.1. To the fullest extent permitted by law, Calisto is not liable for any indirect, incidental, consequential, or punitive damages arising out of this Agreement or your use of the Site.

13.2. Calisto's total aggregate liability under this Agreement does not exceed the total amount you paid to Calisto in the twelve (12) months preceding the claim.

13.3. Nothing in this section limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

14. Indemnification

You indemnify Calisto against any third-party claim arising from: your use of the Site in violation of this Agreement or applicable law, Your Content, or your breach of the Data Processing Agreement. This indemnification does not apply to the extent a claim arises from Calisto's own negligence or breach.

15. Suspension and Termination

15.1. By you. You can cancel your subscription at any time through your account. Cancellation takes effect at the end of the current billing cycle. You retain access to paid features until the end of that cycle.

15.2. By Calisto. Calisto may suspend or terminate your access to the Site, including any individual product, at any time for:

• Violation of this Agreement, the Acceptable Use Policy, or any other part of the Terms of Service
• Non-payment, as described in the Payment Terms
• A compliance, legal, or regulatory requirement
• A chargeback, as described in the Calisto Pay Terms

15.3. Effect of termination. Upon termination, your right to use the Site ends. Your data is handled as described in the Data Processing Agreement (for Subscriber Data) and the Calisto Pay Terms (for your balance).

16. Addenda

Certain Calisto products carry additional terms in the form of addenda to this Agreement. An addendum takes effect when you activate the product it covers and prevails over this Agreement where they conflict. Current addenda:

• Addendum A — Adult Content. Applies when you verify your age to view or publish adult content through the Content Creators product.

17. Changes to This Agreement

17.1. Calisto amends this Agreement by publishing the change on the platform with an updated "Last Updated" date. For material changes, Calisto notifies you by email or in-app notification at least thirty (30) days before they take effect.

17.2. Your continued use of any paid Calisto service after the effective date of a change constitutes acceptance. If you do not agree with a change, you cancel your subscription before the change takes effect.

18. Governing Law and Jurisdiction

18.1. This Agreement is concluded in the Dominican Republic and is governed by the laws of the Dominican Republic.

18.2. Any dispute arising under this Agreement is resolved in the courts of Santo Domingo, Dominican Republic, except as provided in Section 19.

19. Jurisdiction-Specific Terms

19.1. Consumers in the Dominican Republic

If you are a consumer under Dominican law:

• If you are not satisfied with Calisto's resolution of a dispute, you file a complaint with Pro Consumidor (Instituto Nacional de Protección de los Derechos del Consumidor) and obtain a final resolution before initiating any court proceeding.

19.2. Consumers in the European Union, the European Economic Area, and the United Kingdom

If you are a consumer resident in the EU, the EEA, or the United Kingdom:

• Right of withdrawal. You can withdraw from a paid subscription within fourteen (14) days of activating it, without giving a reason, by opening a support ticket at https://pro.calistoco.com/support/tickets. If you asked for the service to begin during the withdrawal period, Calisto deducts an amount proportionate to the service provided before you withdrew.
• Your courts. You can bring proceedings in the courts of your country of residence.

19.3. Consumers in the United States

If you are a consumer resident in the United States:

• Renewal. Your subscription renews each month and is debited from your Calisto Pay balance on your billing date until you cancel.
• Cancellation. You can cancel your subscription at any time through your account.
